Terms of Use

These Terms of Use (“Terms”) govern your use of the Eden & Friends website, waitlist, member and business accounts, and directory (together, the “Service”). By using the Service you agree to these Terms. If you don’t agree, please don’t use it.

Please also read our Privacy Policy and Cookie Policy, which form part of these Terms.

1. Who we are

The Service is provided by Luke Martin, a sole trader trading as Eden & Friends(“we”, “us”, “our”). You can reach us at contact@edenandfriends.co.uk.

2. Eligibility

You must be at least 18 years old to create an account or list a business. By using the Service you confirm that you are, and that the information you give us is true and accurate.

3. Your account

• Keep your sign-in details secure and don’t share them. You’re responsible for activity under your account.
• Tell us promptly at contact@edenandfriends.co.uk if you think your account has been used without your permission.
• You can close your account at any time. We explain what happens to your data in our Privacy Policy.

4. Using the directory as a member

The directory helps you find values-led businesses. You can browse it, and (when signed in) save businesses you like. Any dealings you then have with a business are directly between you and them — see section 6.

5. Listing your business

• You must have the authority to represent the business and the right to share everything you submit. Your listing must be accurate, lawful and not misleading, and you must keep it up to date.
• Listings are reviewed before they go live. We may approve, decline, edit, suspend or remove any listing at our reasonable discretion — particularly if it doesn’t fit our values, is inaccurate, or breaches these Terms. Approval isn’t an endorsement or a guarantee (see section 6).
• Eden & Friends is currently in its early stage. Listing is free for your first three months. Paid listings and pricing aren’t active yet; if we introduce fees, we’ll give you clear notice and separate billing terms before you’re ever charged.

6. About our vetting — what it does and doesn’t mean

We review businesses for values alignment in good faith, because we want the directory to be somewhere you can trust. But please understand the limits of that:

• Our review is not a guarantee or warranty about any business, its owners, its products or services, its conduct, quality, qualifications, licences or insurance.
• We are not a party to any agreement, transaction or dispute between you and a listed business, and we’re not responsible for what they do or fail to do.
• You should still do your own checks before relying on, paying or contracting with any business, just as you would anywhere else.

If something about a listing doesn’t seem right, please tell us at contact@edenandfriends.co.uk and we’ll look into it.

7. Acceptable use

When using the Service, you agree not to:

• break the law, infringe anyone’s rights, or post anything false, misleading, defamatory, hateful, obscene or harmful;
• impersonate anyone, or list a business you’re not entitled to represent;
• upload anything that contains malware, or try to gain unauthorised access to the Service or its data;
• scrape, harvest or bulk-extract data, or copy the directory, without our written permission;
• use the Service to send spam or unsolicited marketing, or to disrupt or overload it.

We may suspend or remove access if you break these rules.

8. Your content and our intellectual property

You keep ownership of the content you submit (your listing text, photos, logo and answers). You grant us a non-exclusive, royalty-free licence to host, display and promote that content as part of running and marketing the Service. You confirm you have the rights to grant this and that your content doesn’t infringe anyone else’s rights.

Everything else — the Eden & Friends name, logo, artwork, design and the site itself — belongs to us or our licensors and may not be copied or used without permission.

9. Links and third-party sites

The Service links to other websites, including listed businesses and our sister site Eden & Earth. We don’t control those sites and aren’t responsible for their content or practices. Visiting them is at your own risk and subject to their own terms.

10. Availability

The Service is provided on an “as is” and “as available” basis while we build and grow it. We may change, suspend or withdraw features, and we don’t promise the Service will always be available or error-free.

11. Our responsibility to you

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud, and for any of your rights as a consumer that cannot be excluded under law (such as under the Consumer Rights Act 2015).

Subject to that, and to the fullest extent permitted by law:

• we’re not liable for the acts, omissions, products or services of businesses listed in the directory, or for any dealings between you and them;
• we’re not liable for indirect or consequential loss, loss of profit, goodwill, data, or business, or for loss that wasn’t reasonably foreseeable;
• if you’re using the Service in the course of a business, our total liability to you for any matter is limited to the fees you paid us (if any) in the 12 months before the claim.

12. Your responsibility to us

If you use the Service in breach of these Terms or the law, you’re responsible for any reasonable losses or claims we suffer as a direct result.

13. Suspension and termination

We may suspend or end your access (and remove listings) if you breach these Terms, or where we reasonably need to in order to protect the Service or other people. You can stop using the Service and close your account at any time.

14. Changes to these Terms

We may update these Terms as the Service develops. We’ll change the “last updated” date above, and for significant changes we’ll take reasonable steps to let you know. Continuing to use the Service means you accept the updated Terms.

15. Governing law

These Terms are governed by the law of England & Wales, and the courts of England & Wales have jurisdiction over any dispute — though if you’re a consumer living elsewhere in the UK, you keep the benefit of any mandatory protections of your home nation.
